Terms and Conditions for Xero Account Services

- Introduction
These Terms and Conditions (“Terms”) govern the relationship between Hector E Garcia CPA (“we,” “us,” or “our”) and the client (“you” or “your”) regarding the provision of Xero accounting services and related financial management services.
- Services
2.1. We provide Xero account setup, advisory services, and support services, including but not limited to:
- Account setup and configuration
- Bookkeeping and reconciliation
- Analysis of Financial reports
- Tax preparation assistance, representation, resolutions
- Training and support
2.2. Service delivery is subject to your timely provision of necessary information and documentation.
- Client Responsibilities
You agree to:
3.1. Provide accurate and complete information necessary for service delivery.
3.2. Maintain the confidentiality of your Xero login credentials.
3.3. Analyze financial reports and notify us of any discrepancies within 5 business days.
3.4. Comply with all applicable laws and regulations regarding financial reporting and record-keeping.
- Fees and Payment
4.1. Service fees will be charged according to our current pricing schedule, which may be updated with 30 days’ notice.
4.2. Payments are due upon receipt.
4.3. Late payments may incur interest at 1.5% per month.
- Refund Policy
5.1. Refund Eligibility:
- Service cancellation within 48 hours of initial signup: full refund
- Significant service failure due to our error: prorated refund
- Duplicate charges: full refund
- Service termination mid-billing cycle: prorated refund less administrative fees
5.2. Non-Refundable Items:
- Training sessions already conducted
- Setup fees after account configuration
- Custom report development
- Services already delivered
5.3. Refund Process:
- Submit refund requests in writing with detailed reason
- Requests processed within 10 business days
- Refunds issued to the original payment method
- Processing fees may be deducted from refund amount
5.4. Disputed Charges:
- Must be reported within 30 days of charge
- Include supporting documentation
- Resolution provided within 15 business days
- Data Security and Privacy
We implement appropriate technical and organizational security measures to protect your information, including:
6.1. Encryption of sensitive data
6.2. Secure file storage systems
6.3. Access controls and authentication measures
6.4. Regular security assessments
6.5. Employee training on privacy and security practices
- Intellectual Property
7.1. All intellectual property rights in our services, methodologies, and materials remain our property.
7.2. You retain ownership of your data and financial records.
7.3 Xero subscription control will be transferred to client once all terms and conditions have been satisfied.
- Information Sharing and Disclosure
We do not sell, rent, or trade your personal information to third parties. We may share your information with:
- Authorized employees and staff members
- Third-party service providers who assist in our operations
- Government agencies as required by law
- Professional advisors and consultants
- Financial institutions when authorized by you
- Limitation of Liability
9.1. Our liability is limited to the fees paid for services in the preceding 12 months.
9.2. We are not liable for indirect, consequential, or special damages.
9.3. We do not guarantee specific financial outcomes or tax positions.
- Term and Termination
10.1. These Terms remain in effect until terminated by either party with 30 days’ written notice.
10.2. We may terminate immediately if:
- You breach these Terms
- You fail to pay fees when due
- You engage in fraudulent or illegal activities
10.3. Upon termination, you will:
- Pay all outstanding fees
- Receive your financial data in standard format
- Lose access to our services and support
- Modifications
9.1. We reserve the right to modify these Terms with 30 days’ notice.
9.2. Continued use of our services constitutes acceptance of modified Terms.
- Governing Law
10.1. These Terms are governed by the laws of the State of Texas.
10.2. Any disputes will be resolved in the courts of San Antonio, Texas.
